YOUR TASKS As part of the Acciona Nordex Green Hydrogen Legal Department, the selected candidate will work in legal advice on international (and eventually national) projects for the production of green hydrogen and chemical derivatives generated from it, such as sustainable fuels or fertilizers. The selected candidate will have to detect legal risks, even anticipating them, and after analysing the scenarios duly contextualised within the Business, propose legally solutions. Key job functions: - Advice during the different phases of the projects: origination, tendering, acquisition, development and promotion, partnership, financing, construction operation and divestment. - Drafting, review and negotiation of consortium agreements, NDAs, MoUs, C&Es, HoTs, offers in national and international tenders, shareholders´ agreements, company formations (SPVs, HoldCos, Partnerships, Funds, Trusts and/or JVs), project finance, concession contracts, lease, trademark registration, O&M, services and construction contracts, gas transport and/or fluids contracts, master agreements and interfaces. - M&A transactions: conducting DDs, preparing and negotiating non-binding offers and SPAs, APAs, SPIAs, RCTs. Support during the DD phase, contract discussion, commercial negotiations, closing and post-closing. - Management and support in corporate affairs and secretarial management of the administrative bodies of the parent company, subsidiaries and investees of the Business. Coordination of the granting and revocation of powers of attorney, appointment and removal of directors and positions, preparation and approval of annual accounts, and other recurring corporate matters in the operations of the companies of the Acciona Nordex Green Hydrogen Group. - Work in coordination with the Legal Departments of other Divisions of the Acciona Group and Nordex involved in the development, construction and/or operation of the projects. - Designation, dialogue, negotiation and coordination of External Firms, based on the procedures, norms and standards established internally within the Group. - Litigation support, analysis, coordination and follow-up. - Archiving and rigorous document management of all documents and versions handled during participation in any project or transaction, in any of its phases, as well as the related to corporate issues, reports, analyses, project descriptions, and miscellaneous related to other areas known as transversal or support (as P&C, IT, Finance…). - Periodic reporting to line Manager when appropriate for assignments to specific projects. YOUR PROFILE - Degree in Law - Valuable Master in International Law, Energy or other business-related. - High English level. - At least 4 years of experience in a prestigious law firm or legal department of Company in the sector. - Wre are looking for a decisive, restless and proactive person. Someone with autonomy, the ability to analyse and learn quickly. Respectful of structures and hierarchy but not afraid to interact with senior roles, adaptable to a changing environment, eager to learn and easy to relate to multidisciplinary teams. - Communication skills are required.
