As Senior Legal Counsel NTO Transactions you have responsibility for providing legal transactional advice and support on a wide range of transactions globally in respect of transforming the NTO portfolio, BD&L; and M&A; transactions.It will include heavy documentation support on sale and purchase, licensing, manufacturing and supply agreements, quality and other deal documentation.The role will ensure that transactions are in compliance with all relevant laws and regulations, that pragmatic advice is provided and robust risk assessments are completed.- *Your responsibilities include, but not limited to**:- Proactive, business-minded legal partner to the NTO network transformation, M&A; and BD&L; NTO global support teams during planning, negotiation, execution and implementation of the relevant transactions and ensures the execution of projects in accordance with the project plan, NTO strategy and in compliance with all relevant laws and regulations.- Leads or supports on assigned transactions in the area of network transformation (Expansion, closing, divesting of sites / outsourcing of manufacturing), M&A; and/or BD&L; (acquistion, divestment, in- or out-licensing), and, as required, prepares / conducts due diligences, drafts, negotiates and reviews all related agreements, and any related internal or external communication to management, employees, authorities, interested parties (bidders), suppliers or any other third parties.- Manages and works with outside counsel and, when and as necessary,closely monitors and controls related legal spend.- Manages potential disputes and dispute resolution relating to matters arising from assigned transactions.- Supports the establishment, design and implementation of clear guidelines and processes to provide optimal and timely NTO legal support for transactions.- Advises and determines appropriate actions regarding legal and compliance issues in relation to transactions, including the training of lawyers and clients.- *Commitment to Diversity & Inclusion**:- Novartis is committed to building an outstanding, inclusive work environment and diverse teams representative of the patients and communities we serve._**Minimum requirementsWhat you'll bring to the role**:- Educational background: Law School Graduate qualified practicing attorney.Additional qualifications in related fields (e.
