Our client, Kinross Gold Corporation, is a senior gold mining company with a diverse portfolio of mines and projects in the United States, Brazil, Chile, Mauritania, and Canada. The company is looking for a Commercial Legal Counsel. This role is part of the Kinross Africa Regional Office.The Kinross Africa Regional Office is located in Las Palmas, Canary Islands, and is responsible for providing leadership and back office support to the Company's operations in Mauritania.Job DescriptionAs an integral member of the regional legal department, this role assists with the management and administration of the Company's legal affairs and issues.Job ResponsibilitiesWhile the incumbent will report to the Vice President, Compliance & General Counsel (Africa), he or she will work closely with functional leaders, heads of department and operators (the "other leaders"), as well as with the other members of the Legal Department. They will in particular:Draft, review and negotiate a wide range of commercial agreements, including typical industry agreements such as option and joint venture agreements.Advise on corporate transactions and asset acquisitions/divestitures, including drafting, reviewing and negotiating transaction documents.Draft and regularly update standard terms and conditions in contracts used by construction, projects and supply chain departments, ensure the implementation thereof and provide timely support to such departments with respect to negotiating contracts with third parties.Supports on strategic operational initiatives such as development of a global procurement strategy and advancement of country / regional operationsAdvise on a wide range of legal issues to ensure compliance with all applicable laws, including with respect to corporate development and exploration initiatives, commercial and contractual matters, subsidiary governance/ maintenance, environmental issues, dispute avoidance and resolution, mergers and acquisitions, financings, negotiations and litigation management and mine operating issues.Foster solid lines of communications with the other leaders, inducing them to seek advice/guidancebeforeundertaking any action that may entail legal consequences.May act asde factoCorporate Secretary for the African region and Spain (responsible for the execution of all corporate formalities and corporate secretarial legal work, ensuring the implementation of resolutions made by directors/shareholders, and properly liaising with the head-office teams).Establish and manage processes and procedures for board and shareholders meetings, familiarizing with corporate local laws.Assists with day-to-day management of legal and compliance matters.Assists with implementation, administration and enforcement of core corporate policies / procedures.This role is intended to be proactive and service-oriented; visits to local offices ( e.g . Nouakchott) and mine sites will be on an as-needed basis; other travel may be required from time to time.Education and ExperienceMinimum 6-8 years of legal experience gained in a top tier firm and/or reputable company, ideally with a strong transactional or commercial track record (including experience with cross-border matters).Bachelor of Laws (both in civil and common law would be an asset) and a member in good standing of a bar association or law society.Bilingualism (French/English) is essential; ability to work at an equally high level in each language (both spoken and written). Spanish and/or Arabic would be an asset.Ability to draft and negotiate a wide range of commercial agreements, under minimal supervision, in both French and English.International experience, exposure to African countries (especially West Africa) would be an asset.Prior experience in the natural resources industry, preferably mining, would be an asset.SkillsSound understanding of financial matters.Excellent interpersonal and communication skillsHighly motivated, independently driven, and able to work independently with minimal supervisionSuperior analytical, negotiation, writing and drafting skills, particularly involving transactional and other contractual arrangementsOrganized and detail oriented, with an ability to prioritize, meet deadlines and work effectively, individually and as part of a team, in a dynamic, fast-paced, challenging environmentStrong business orientation and acumen, with an ability to advise senior managementFunción laboralLegal#J-18808-Ljbffr
