POSITION TITLE:Senior Legal & Privacy Counsel, MCP BUsDEPARTMENT:ES InternationalREPORTS TO:VP & Managing Counsel, MCPLOCATION:, SpainResponsible for handling Data Privacy matters impacting the Multi-Country Products ("MCP") Business Units of ADP (providing the ADP GlobalView Services, ADP Streamline Services, ADP Celergo Services, ADP Enterprise eTIME Services and ADP Workforce Manager Services) and support to the Global Contract Teams from time to time for negotiating, drafting and closing a wide variety of high-value and/or strategic contracts (client, vendor and strategic business partner agreements) for MCP. Interfaces with all levels of the business and corporate management, and advises on day-to-day legal issues affecting MCP (especially on data protection laws and compliance in jurisdiction where MCP provides services to clients around the globe). Ensures in each instance that negotiated/finalised terms of agreements are made in the best interest of ADP, accurately reflect ADP's policies and business practices, including the legal directives of the ADP Corporate Legal Department. Travel be required.SCOPE:Significantly impacts upon the business, revenue and operations of MCP (e.g., meeting fiscal revenue forecasts, retaining clients and achieving strategic goals) by providing legal advice and guiding the compliance strategy with respect to data protection across MCP operations, globally.ESSENTIAL RESPONSIBILITIES:Provide advice and support relating to data protection laws and issues impacting the MCP Business Units. Act as the lead Privacy legal counsel for MCP. Interact with members of MCP senior leadership teams, the Global Data Privacy & Governance team of ADP, including ADP´s Chief Privacy Officer based in Roseland, New Jersey, as well as the Regional Data Protection Officers for ADP, and Regional Privacy Managers.Provide day-to-day legal support to MCP. Review a variety of contracts and training materials. Interact with and advise MCP general management on issues related to global matters.Serve as an escalation point during complex global customer contract negotiations with existing and prospective multinational customers.Support the negotiation of high-value and/or strategic global deals by the Global Contracts Team and as Importante empresa the various MCP legal and business teams in the Americas, Europe and the Asia Pacific region.Negotiate strategic partnership agreements for MCP, and support for privacy compliance topics that arise from time to time with respect to same.Provide assistance to the M&A team in connection with any acquisitions or dispositions involving MCP.Support for MCP privacy compliance related internal processes and best practices, due to changing legislation / regulations around the globe and/or due to customer or partner escalations.Perform other related duties as assigned.SKILLS/KNOWLEDGE/EXPERIENCE:Education/AdmissionsJuris Doctorate or equivalent degree from an accredited law school (Europe preferred).ExperienceSubstantial experience (minimum 5 years) in a corporate law firm and/or as in-house counsel in a publicly owned company in Europe or in the U.S., with specific emphasis on EU and/or global Data Protection Laws, contract drafting, interpretation and negotiation and related compliance work.Expertise with the requirements of the EU GDPR required.Some experience with acquisitions helpful.Experience with software licensing and other technology-related contracts useful.Must have very strong negotiation skills with good business judgment.Analytical skills.Excellent English verbal and written communication skills necessary.Must have very strong legal drafting skills with a meticulous attention to detail and form.Must be able to conduct business meetings and negotiate and draft contracts and related documents in English.Must be a motivated self-starter with the ability to manage a project or transaction to completion and proactively anticipate issues or problems that arise.
